Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, software, applications, tools, content-generation services, and related services provided by InkSynth ("InkSynth," "we," "us," or "our"). By accessing or using InkSynth, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and Authority

You must be at least 18 years old and capable of forming a binding contract to use the Services. If you use the Services on behalf of a company or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. The Services

InkSynth provides software-enabled tools and workflows that assist users with drafting, transforming, analyzing, organizing, and delivering written and related business content. Features may include, without limitation, content generation, rewriting, website analysis, business-content audits, newsletter generation, question-and-answer analysis, and related workflow automation.

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. Account and Access

You may be required to provide accurate registration, billing, or contact information to use some or all of the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.

You agree to notify us promptly of any unauthorized use of your account or any other suspected security incident.

4. License and Permitted Use

Subject to these Terms and your compliance with them, InkSynth grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business or personal lawful purposes.

You may not:

  • Reverse engineer, decompile, or attempt to extract source code from the Services, except as permitted by law
  • Use the Services to violate any law or third-party rights
  • Use the Services to transmit malware, spam, or harmful code
  • Interfere with or disrupt the Services or related systems
  • Scrape, harvest, or systematically extract data from the Services without our prior written consent
  • Use the Services to create unlawful, deceptive, infringing, defamatory, fraudulent, or abusive content
  • Misrepresent content generated through the Services in a manner that violates law or applicable platform rules

5. User Inputs and User Responsibility

You may submit prompts, instructions, source text, website URLs, uploaded materials, business details, and other content or data to the Services ("Inputs").

You are solely responsible for your Inputs and for ensuring that:

  • You have all rights, permissions, and authority necessary to provide them to InkSynth
  • Your Inputs are accurate, lawful, non-infringing, and not misleading
  • Your Inputs do not violate any applicable law, contract, duty, or third-party right

You represent and warrant that any information you provide to the Services is truthful and accurate to the best of your knowledge. If you submit false, misleading, defamatory, infringing, or otherwise unlawful Inputs, you are solely responsible for the resulting content and consequences.

6. Outputs; Review and Approval

The Services may produce drafts, recommendations, analyses, rewrites, summaries, reports, or other outputs based on your Inputs ("Outputs").

As between you and InkSynth, and subject to your compliance with these Terms and any rights of third parties in your Inputs, you retain ownership of your Inputs and we assign to you any rights we may have in Outputs generated specifically for your use.

You acknowledge and agree that:

  • Outputs are generated automatically based on the information and instructions you provide
  • Outputs may contain errors, omissions, inaccuracies, or outdated information
  • Outputs may require editing, verification, legal review, factual review, or professional review before publication, reliance, use, or distribution
  • InkSynth does not independently verify the truthfulness, legality, or business suitability of your Inputs or Outputs unless expressly stated otherwise in writing

You are solely responsible for reviewing, approving, editing, and deciding whether to use, publish, send, post, rely on, or distribute any Output. InkSynth does not directly publish customer Outputs on your behalf unless expressly agreed in a separate written arrangement.

7. No Professional Advice

The Services are provided for informational, workflow, drafting, and productivity purposes only and do not constitute legal, tax, accounting, investment, medical, clinical, compliance, or other regulated professional advice. You should consult qualified professionals before relying on Outputs for such purposes.

8. Website and Third-Party Data

Certain Services may analyze websites, publicly available information, or third-party content at your request. You are responsible for ensuring you have the right to request such analysis and to use any resulting Output. We do not guarantee completeness, ongoing availability, or accuracy of third-party or publicly sourced information.

9. Fees, Billing, and Payments

Some Services require payment. You agree to pay all applicable fees, taxes, and charges disclosed at the time of purchase.

Payments are processed by third-party payment processors, including Stripe. InkSynth does not store full payment card details on its own systems unless expressly stated otherwise. Payment transactions are subject to the applicable payment processor's terms and privacy practices.

Unless otherwise stated:

  • Fees are non-refundable once Services have been rendered or digital Outputs have been delivered
  • Subscriptions, if offered, renew as disclosed at checkout until canceled
  • We may change pricing prospectively by posting updated pricing or providing notice

10. Intellectual Property

The Services, including software, interfaces, workflows, branding, logos, designs, and underlying technology, are owned by InkSynth or its licensors and are protected by intellectual property laws.

Except for the limited rights expressly granted in these Terms, no rights are granted to you.

11. Feedback

If you submit suggestions, ideas, proposals, enhancement requests, recommendations, or other feedback regarding the Services ("Feedback"), you grant InkSynth a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, perform, display, and incorporate such Feedback into the Services or other products and services without notice, restriction, or compensation to you.

You acknowledge that InkSynth has no obligation to use any Feedback, to treat any Feedback as confidential, or to enter into any business relationship, compensation arrangement, joint venture, partnership, or other collaborative arrangement in connection with any Feedback.

Notwithstanding the foregoing, InkSynth may, in its sole discretion, elect to enter into a separate written agreement with you regarding a particular idea, suggestion, proposal, or opportunity if InkSynth determines that such concept has unique merit and warrants a specific collaborative, commercial, licensing, revenue-sharing, consulting, or other negotiated arrangement. No such arrangement shall exist unless and until both parties execute a separate written agreement expressly describing its terms.

12. Acceptable Use and Content Restrictions

You may not use the Services to create, process, or distribute content that:

  • Violates law
  • Infringes intellectual property or privacy rights
  • Is fraudulent, deceptive, or materially misleading
  • Promotes unlawful activity
  • Contains malicious code
  • Is used for spam, harassment, or abusive conduct

We may suspend or terminate access for violations of these Terms.

13. Suspension and Termination

We may suspend or terminate your access to the Services immediately if:

  • You violate these Terms
  • Your use creates risk to us, the Services, or others
  • Required by law
  • Payment is overdue

You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including ownership, disclaimers, indemnity, limitations of liability, and dispute provisions.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, INKSYNTH DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR RESULTS.

WITHOUT LIMITING THE FOREGOING, INKSYNTH DOES NOT WARRANT THAT THE SERVICES OR ANY OUTPUTS WILL BE ERROR-FREE, COMPLETE, SECURE, UNINTERRUPTED, TIMELY, LAWFUL FOR YOUR PARTICULAR USE, OR SUITABLE FOR ANY SPECIFIC PURPOSE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INKSYNTH AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR REPUTATION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INKSYNTH'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (a) THE TOTAL AMOUNT PAID BY YOU TO INKSYNTH FOR THE APPLICABLE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (b) ONE HUNDRED U.S. DOLLARS (US $100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. Indemnification

You agree to defend, indemnify, and hold harmless InkSynth and its affiliates, owners, officers, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, losses, judgments, awards, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your Inputs
  • Your Outputs once reviewed, approved, used, published, distributed, or relied upon by you
  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Any allegation that content, instructions, claims, or materials supplied by you were false, misleading, defamatory, infringing, unlawful, or unauthorized

17. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Allen County, Indiana, and you consent to their personal jurisdiction and venue.

19. Changes to These Terms

We may update these Terms from time to time. The updated version will be effective when posted, unless a later effective date is stated. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
